1. Scope

These Terms of Service constitute a legally binding agreement between you and NEXTRAST SOLUTIONS LTD ("NEXTRAST", "we", "us", "our") and govern your access to and use of the website https://gembinini.com, as well as the services made available through it. The website is operated by NEXTRAST SOLUTIONS LTD, a company registered in England and Wales, with its registered address at International House, 142 Cromwell Road, London, United Kingdom, SW7 4EF.

The Service provides an online entertainment service offering Entertainment Games that are played exclusively using virtual units known as G-Coins. The games are non-gambling in nature and are designed solely for recreational and entertainment purposes. The Service does not involve real-money gambling, betting, or wagering, does not offer real-money winnings, and does not award money, money's worth, or any items of real-world value.

By accessing the website, creating an Account, or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the website or the Service.

These Terms apply to all users of the website. Other policies published on the website form part of the overall legal framework governing use of the Service. Continued use of the website constitutes acceptance of these Terms, as amended from time to time.

G-Coins are not money, are not electronic money, have no monetary value, do not constitute property, and cannot be exchanged, redeemed, or withdrawn for cash or anything of value.
  • "Entertainment Games" means non-gambling, recreational digital games made available through the Service solely for entertainment purposes.
  • "Purchase" means the acquisition of G-Coins as digital content for use solely within the Service.

  • "User" or "you" means any individual who accesses or uses the Service and meets the eligibility requirements set out in these Terms.

3. Nature of the Service and Entertainment Purpose

The Service is an online entertainment platform that provides Entertainment Games designed solely for recreational and leisure purposes. The Service does not constitute gambling and is not intended to simulate, replicate, or enable real-money gambling activity.

All Entertainment Games within the Service are accessed and used exclusively through G-Coins. G-Coins are internal virtual units used to access games and in-game features within the Service. G-Coins operate within a closed-loop system and may be used only within the Service. G-Coins are not money, are not electronic money, have no monetary value, and cannot be exchanged, redeemed, or withdrawn for cash or anything of value.

The Service does not offer real-money gambling, real-money betting, or real-money wagering. No real money is staked, risked, or wagered during gameplay, and no prizes, winnings, or rewards of monetary value or real-world value are offered or made available.

Gameplay outcomes do not generate winnings or rewards. Any interaction with Entertainment Games results solely in the use of G-Coins to access gameplay or in-game features. Gameplay does not create any entitlement to money, prizes, goods, services, discounts, or any other form of compensation outside the Service.

The Service is designed, operated, and marketed exclusively for entertainment purposes. Users acknowledge and agree that the Service must not be used as a means of earning money or obtaining any item of value.

4. Eligibility

The Website is available for personal, non-commercial use only. Users must be legally permitted to access the service in their jurisdiction. The services are restricted in: Afghanistan (AF); Algeria (DZ); Bahrain (BH); Bangladesh (BD); Belarus (BY); Brunei Darussalam (BN); Cambodia (KH); Central African Republic (CF); China, mainland (CN); Congo, Democratic Republic of the (CD); Cuba (CU); Eritrea (ER); Haiti (HT); Hong Kong SAR (HK); Indonesia (ID); Iran, Islamic Republic of (IR); Israel (IL); Jordan (JO); Korea, Democratic People's Republic of (KP); Korea, Republic of (KR); Kuwait (KW); Libya (LY); Macao SAR (MO); Malaysia (MY); Mali (ML); Myanmar (MM); Nepal (NP); Nicaragua (NI); Oman (OM); Pakistan (PK); Qatar (QA); Russian Federation (RU); Saudi Arabia (SA); Singapore (SG); Somalia (SO); South Sudan (SS); Sudan (SD); Syrian Arab Republic (SY); Thailand (TH); Türkiye (TR); United Arab Emirates (AE); United States of America (US); Venezuela, Bolivarian Republic of (VE); Viet Nam (VN); Yemen (YE); Zimbabwe (ZW).

The following territories are also Restricted Territories:

  • the Autonomous Republic of Crimea and the city of Sevastopol, and the occupied areas of the Donetsk, Luhansk, Zaporizhzhia and Kherson regions of Ukraine;
  • the occupied territories of Georgia, namely Abkhazia and the Tskhinvali Region / South Ossetia;
  • the Transnistria region of the Republic of Moldova;
  • the area of the Republic of Cyprus not under the effective control of the Government of the Republic of Cyprus.

5. Age Restriction (18+)

The Service is intended solely for adults and is available only to individuals who are eighteen (18) years of age or older.

By accessing the Service, creating an Account, or making any Purchase, you confirm that you are at least eighteen (18) years old. The Company does not knowingly permit access to the Service by minors.

The Company may request reasonable proof of age at any time and may restrict, suspend, or terminate access to the Service where age requirements are not met or where false or misleading information has been provided. Accounts identified as belonging to individuals under the age of eighteen may be closed, and any associated G-Coins may be forfeited without compensation.

6. Account Registration and Personal Use

To use the Service, you must register an Account. During registration, you are required to provide accurate, current, and complete information and to keep such information up to date at all times. You are responsible for maintaining the confidentiality of your login credentials and for all activities carried out through your Account.

Each User may create and maintain only one Account. Accounts are personal and non-transferable. You must not sell, assign, share, or otherwise allow any third party to access or use your Account.

The Service is provided solely for personal, non-commercial use. You must not use the Service for any commercial purpose, resale, promotion, or any activity intended to generate revenue or value outside the Service. This includes any attempt to sell, transfer, exchange, or otherwise monetize G-Coins, internal virtual units, or access to the Service, whether directly or indirectly.

You must notify the Company without undue delay of any unauthorised use of your Account or any breach of security. The Company is not responsible for any loss or damage resulting from your failure to comply with these obligations.

If you are under the age of eighteen (18), you must not access or use the Service in any manner.

7. G-Coins and Virtual Units

G-Coins are used exclusively within the Website for entertainment gameplay. They are not money, electronic money, or property. G-Coins cannot be transferred, gifted, sold, or traded.

Secondary markets for G-Coins are strictly prohibited. The Company may adjust or reset G-Coin balances in cases of technical errors or policy violations. No compensation is provided for forfeited G-Coins.

G-Coins may be purchased in the following accepted currencies: EUR (Euro), GBP (British Pound), and USD (United States Dollar). Where you pay in GBP or USD, the amount charged is determined by the conversion rate applied by your own bank, card issuer, or payment provider; the Company does not set, apply, or profit from any currency conversion.

Please make sure you understand the costs of currency conversion, as they may differ depending on whether you select your home currency or the transaction currency at the point of payment. Any conversion fees, mark-ups, or cross-border charges are applied by your bank or payment provider and are not controlled by the Company.

8. Payments and Price of G-Coins

G-Coins may be purchased as digital content only. The price of G-Coins is fixed at 1 EUR = 1000 G-Coins and does not vary according to market conditions, demand, or any other commercial factor. A purchase grants a limited, revocable, non-exclusive right to use G-Coins within the Website. No ownership of G-Coins is transferred to the user.

Payments are processed by third-party regulated payment providers. The Company reserves the right to refuse any individual purchase where required for legal, security, or anti-fraud reasons.

The Company may change the fixed rate only prospectively: any new rate will be published on the Website before it takes effect and will apply solely to purchases made after that date. Purchases already completed, and G-Coin balances already held, are not affected.

All purchases are subject to the applicable payment provider's terms. The Company is not responsible for third-party fees or charges associated with the transaction, including conversion fees, cross-border fees, or charges levied by your bank or card issuer.

9. Refund Policy

G-Coins represent the immediate performance of digital content, and therefore, the Company may consider refunds in cases of: technical errors preventing delivery, duplicate charges, or non-delivery of purchased G-Coins.

Refund requests must be submitted to support@gembinini.com within 30 days of the transaction.

Used G-Coins are ineligible for refunds. Chargebacks may result in account suspension.

10. Responsible Play

The Service is provided solely for entertainment purposes and is not intended to be used as a form of gambling or as a means of earning money. The Company is committed to promoting responsible use of the Service and to operating it in a socially responsible manner.

The Service does not encourage excessive or compulsive use and does not incentivise frequent or repeated Purchases. Any option to obtain G-Coins through payment is entirely optional and is provided solely to enable access to Entertainment Games and in-game features within the Service.

Users remain fully in control of their use of the Service. You may stop using the Service, refrain from making Purchases, or request closure of your Account at any time.

Access to the Service is strictly limited to individuals aged eighteen (18) years or older. The Company does not knowingly permit minors to use the Service and takes reasonable measures to prevent underage access.

If you consider that your use of the Service is no longer enjoyable or may be causing concern, you are encouraged to take a break or discontinue use and, where appropriate, to seek independent support or advice.

The Company reserves the right to take proportionate and appropriate measures where patterns of use indicate misuse of the Service or behaviour inconsistent with its entertainment-only purpose.

11. Prohibited Conduct

You agree to use the Service in a lawful, responsible, and appropriate manner and strictly in accordance with these Terms. Any misuse of the Service is prohibited.

You must not attempt to obtain or create any form of money, money's worth, or real-world value through the Service. This includes any attempt to withdraw, redeem, exchange, or convert G-Coins, which are used as internal virtual units, into cash, cryptocurrency, goods, services, discounts, vouchers, or any other item of value, whether directly or indirectly.

You must not transfer, gift, sell, trade, or otherwise make available G-Coins or Accounts to any other person. Secondary markets, peer-to-peer exchanges, account sales, and any other methods of transferring access or value between users are strictly prohibited.

You must not use automated tools, scripts, bots, or any other unauthorised means to access or interact with the Service, interfere with gameplay or system operations, exploit errors or vulnerabilities, or disrupt the normal functioning of the Service.

You must not use the Service for any commercial, promotional, or business-related purpose, nor may you misrepresent the nature of the Service or promote it as a means of earning money or obtaining value.

You must not attempt to circumvent or bypass any technical measures, access controls, or safeguards implemented by the Company, nor engage in any activity that may expose the Company to legal, regulatory, financial, or reputational risk.

The Company reserves the right to investigate any suspected violation of this section and to take appropriate measures, including restriction, suspension, or termination of Accounts and forfeiture of any remaining G-Coins, without compensation.

12. Suspension and Termination of Accounts

The Company may restrict, suspend, or terminate an Account, in whole or in part, where it reasonably believes that a User has violated these Terms, misused the Service, or engaged in prohibited or unlawful activity.

The Company may also restrict, suspend, or terminate an Account where such action is necessary to comply with applicable laws, regulatory requirements, payment service provider rules, sanctions regimes, or internal risk and compliance policies.

Users may request closure of their Account at any time by contacting the Company. Upon restriction, suspension, or termination of an Account for any reason, access to the Service will cease and any remaining G-Coins, which are used as internal virtual units within the Service, will be forfeited without compensation.

Restriction, suspension, or termination of an Account does not entitle the User to any refund, reimbursement, or compensation, except where such entitlement is required by mandatory applicable law.

The Company shall not be responsible for any loss or inconvenience arising from actions taken in accordance with this section.

13. Intellectual Property Rights

All rights, title, and interest in and to the Service, including the website, Entertainment Games, software, design, graphics, text, logos, trademarks, and all related content, are owned by or licensed to the Company and are protected by applicable intellectual property laws.

The Company grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the Service solely for your personal, non-commercial entertainment purposes and strictly in accordance with these Terms.

You must not copy, reproduce, modify, distribute, publicly display, reverse engineer, decompile, disassemble, or otherwise exploit any part of the Service without the Company's prior written consent, except to the extent expressly permitted by mandatory applicable law.

Nothing in these Terms grants you any ownership or proprietary rights in the Service, Entertainment Games, G-Coins, or any other intellectual property belonging to the Company or its licensors.

14. Availability of the Service and Disclaimers

The Company does not guarantee that the Service, or any part of it, will be available at all times, uninterrupted, or free from technical errors. Temporary interruptions may occur due to maintenance, system updates, security measures, technical issues, or circumstances beyond the Company's reasonable control.

The Company makes no guarantees, representations, or warranties regarding the functionality of the Service, the availability of any specific features, or any particular outcomes of Entertainment Games. All gameplay, progress, and balances within the Service are virtual in nature and do not give rise to any entitlement, expectation, or value outside the Service.

To the maximum extent permitted by applicable law, the Service is provided without any guarantee, representation, or warranty as to its availability, continuity, functionality, or suitability for any particular purpose, except where such warranties cannot be excluded under mandatory consumer protection laws.

15. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, consequential, or economic losses arising out of or in connection with your access to or use of the Service. This includes, without limitation, any loss of data, loss of virtual progress, loss of G-Coins, loss of access to the Service, or dissatisfaction with gameplay outcomes.

The Company shall not be liable for any losses resulting from technical issues, system interruptions, maintenance activities, third-party service failures, unauthorised access to Accounts where the User has failed to safeguard login details, or any misuse of the Service in breach of these Terms.

The Company does not accept liability for any decisions made by Users based on their use of the Service. The Service is provided solely for entertainment purposes and does not provide financial, professional, or other advice.

Nothing in these Terms limits or excludes the Company's liability where such limitation or exclusion is not permitted under mandatory applicable law.

16. Changes to the Service and the Terms

The Company may modify, update, suspend, or discontinue the Service, or any part of it, from time to time in order to reflect operational, technical, legal, or compliance requirements.

The Company may also amend these Terms where necessary to reflect changes to the Service or applicable laws. Updated Terms will be published on the website and will take effect from the date of publication, unless a later effective date is expressly stated.

Your continued access to or use of the Service after updated Terms are published constitutes acceptance of the revised Terms. If you do not agree with any changes, you must stop using the Service.

Nothing in this section affects any mandatory rights you may have under applicable consumer protection laws that cannot be excluded or limited by contract.
